This Registration Rights Agreement (this “Agreement”) is made and entered into as of [CLOSING DATE], by and among Viisage Technology, Inc. (the “Company”), a corporation organized under the laws of the State of Delaware, with its principal offices at 296 Concord Road, Third Floor, Billerica, Massachusetts 01821, and L-1 Investment Partners LLC, a limited liability company organized under the laws of the state of Delaware, with its principal offices at 177 Broad Street, Stamford, Connecticut 06901 (the “Purchaser”). This Agreement is being entered into pursuant to the Investment Agreement dated as of October 5, 2005 between the Company and the Purchaser (the “Investment Agreement”).
