THIS FEE AGREEMENT (the “Fee Agreement”), dated as of February 28, 2005, is entered into by and between FUND ASSET MANAGEMENT, L.P. (the “Investment Adviser”) and MERRILL LYNCH BASIC VALUE FUND, INC. (the “Fund”).
