THIS ADVISORY AGREEMENT, dated as of July 1, 2004 is among CB RICHARD ELLIS REALTY TRUST, a Maryland real estate investment trust (the “Company”), CBRE OPERATING PARTNERSHIP, L.P., a Delaware limited partnership (the “Operating Partnership”) and CBRE ADVISORS LLC, a Delaware limited liability company (the “Advisor”).

THIS AGREEMENT OF LIMITED PARTNERSHIP, dated as of July 1, 2004, is entered into by and among CB Richard Ellis Realty Trust, a Maryland real estate investment trust, as the General Partner of and a Limited Partner in the Partnership, and the Persons (as defined below) whose names are set forth on Exhibit A, as attached hereto (as it may be amended from time to time).

THIS LICENSE AGREEMENT (this “Agreement”) is made and entered into as of July 19, 2005 (the “Effective Date”), by and between CB Richard Ellis, Inc., a Delaware corporation (“CBRE”), CB Richard Ellis of California, Inc., a Delaware corporation (“CBRE Cal”) (CBRE and CBRE Cal are hereinafter referred to separately and collectively as “Licensor”), and CB Richard Ellis Realty Trust, a Maryland real estate investment trust (“Licensee”), with reference to the mark “CB Richard Ellis” (the “Mark”).
