DAVIS, PH.D., an individual (hereinafter “CONSULTANT”), and ACADIA PHARMACEUTICALS INC., a Delaware corporation with a place of business at 3911 Sorrento Valley Boulevard, San Diego, California 92121 (hereinafter “ACADIA”).
