AMENDED AND RESTATED SECURITY AGREEMENT, PLEDGE AND INDENTURE OF TRUST (this “Agreement”) dated as of June 30, 1997, between WORLD ACCEPTANCE CORPORATION, a South Carolina corporation (the “Company”), and HARRIS TRUST AND SAVINGS BANK, an Illinois banking corporation (the “Security Trustee”) which amends and restates that certain Security Agreement, Pledge and Indenture of Trust dated as of December 1, 1992 (as the same has been amended, restated, modified, supplemented or waived pursuant to the terms thereof) between the Company and the Security Trustee (the “Original Security Agreement”).
