THIS ADDENDUM NUMBER ONE TO MEMORANDUM OF LEASE is made by and between the LAKE CHARLES HARBOR & TERMINAL DISTRICT, a political subdivision of the State of Louisiana, (hereinafter referred to as “Landlord”), and PNK (LAKE CHARLES), L.L.C., a Louisiana limited liability company, (hereinafter referred to as “Tenant”):

This INDEMNIFICATION TRUST AGREEMENT (“Trust” or “Agreement”) is established as of August 16, 2005, between PINNACLE ENTERTAINMENT, INC., a Delaware corporation (“Grantor”), and Wilmington Trust Company (“Trustee”), whose address is Rodney Square North, 1100 North Market Street, Wilmington, Delaware 19890-0001, and, as an additional party, Bruce Leslie (the “Beneficiaries’ Representative”).

This FIRST AMENDMENT TO AMENDED AND RESTATED CREDIT AGREEMENT (this “Amendment”), dated as of October 11, 2005, between PINNACLE ENTERTAINMENT, INC., a Delaware corporation (the “Borrower”) and LEHMAN COMMERCIAL PAPER INC., as administrative agent (the “Administrative Agent”) and consented to by the Lenders (as defined in the Credit Agreement referred to below) which execute a Lender Consent (as defined below).
