THIS AGREEMENT, dated as of the 1st day of December, 2005 by and among UNITED INVESTORS LIFE INSURANCE COMPANY (the “Company”), a Missouri life insurance company, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each separate account hereinafter referred to as the “Account”), SCUDDER VARIABLE SERIES II (the “Fund”), a Massachusetts business trust created under a Declaration of Trust, as amended, SCUDDER DISTRIBUTORS, INC. (the “Underwriter”), a Delaware corporation, and DEUTSCHE INVESTMENT MANAGEMENT AMERICAS INC. a Delaware corporation (the “Adviser”).

Pursuant to the Amended and Restated Participation Agreement, made and entered into as of the 14th day of April 2000, as amended August 1, 2003, by and among MFS Variable Insurance Trust, United Investors Life Insurance Company and Massachusetts Financial Services Company, the parties do hereby agree to an amended Schedule A, which is attached hereto.

This Second Amendment (this “Amendment”), made and entered into as of April 18, 2005, is made a part of the Fund Participation Agreement dated May 11, 2000, as amended December 5, 2003 (hereinafter the “Agreement”), by and between United Investors Life Insurance Company (“Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A to the Agreement, and Evergreen Variable Annuity Trust (the “Trust”).

Franklin Templeton Variable Insurance Products Trust (the “Trust”), Franklin/Templeton Distributors, Inc. (the “Underwriter,” and together with the Trust, “we” or “us”), United Investors Life Insurance Company (“you”), and United Securities Alliance, Inc., your distributor, on your behalf and on behalf of certain Accounts, have previously entered into a Participation Agreement dated May 15, 2000 and subsequently amended November 1, 2000, November 15, 2003 and May 3, 2004 (the “Agreement”). The parties now desire to amend the Agreement in this amendment (the “Amendment”).

(the “Adviser”) and United Investors Life Insurance Company (the “Company”) concerning certain administrative services to be provided by you on a sub-administration basis, with respect to Portfolios (as defined below) of Scudder Variable Series II (the “Fund”).
