THIS EIGHTH AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) dated as of December 13, 2005 by and among COMMERCIAL NET LEASE REALTY, INC., a corporation formed under the laws of the State of Maryland (the “Borrower”), WACHOVIA CAPITAL MARKETS, LLC, as Sole Lead Arranger and Book Manager (the “Arranger”), WACHOVIA BANK, NATIONAL ASSOCIATION, as Agent, each of WELLS FARGO BANK, NATIONAL ASSOCIATION and AMSOUTH BANK as Co-Syndication Agent (the “Co-Syndication Agents”), each of SUNTRUST BANK and BANK OF AMERICA, N.A., as Co-Documentation Agent (the “Co-Documentation Agents”), and each of the financial institutions initially a signatory hereto together with their assignees pursuant to Section 12.5.(d).
