THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of December 15, 2005, by and between XCYTE THERAPIES, INC., a Delaware corporation (“Xcyte”), and CYCLACEL GROUP PLC, a public limited company organized under the laws of England and Wales with registered number 5090795 (“Seller”).
