This Termination Agreement (this “Agreement”) is entered into as of November 15, 2005 by and among Good Harbor Partners Acquisition Corp., a Delaware corporation (the “Company”), HCFP/Brenner Securities LLC (the “Underwriter”) and Andrew D.
