This Agreement (the “Agreement”) evidences the Award of the Award Shares. The Award is subject in all respects to and incorporates by reference the terms and conditions of the Plan and any terms and conditions relating to Award Shares or this Award contained in the written offer letter dated January 9, 2006 (the “Employment Agreement”), if any, between you and the Company or an Affiliate of the Company for which you perform services, as applicable (the “Employer”), and specifies other applicable terms and conditions of your Award Shares. FIRST SUPPLEMENTAL INDENTURE (this “First Supplemental Indenture”), dated as of December 16, 2005, among FTI Compass, LLC, a Maryland limited liability company (“FTI Compass”) and FTI Investigations, LLC, a Maryland limited liability company (“FTI Investigations” and, together with FTI Compass, the “Guaranteeing Subsidiaries”), each a newly formed subsidiary of FTI Consulting, Inc. (or its permitted successor), a Maryland corporation (the “Company”), the Company, the other Guarantors (as defined in the Indenture referred to herein) and Wilmington Trust Company, as trustee under the Indenture referred to below (the “Trustee”).

This Agreement incorporates the Plan by reference and specifies other applicable terms and conditions of your Option.
