This First Amendment dated as of February 23, 2006 (“Amendment”) is an amendment to the Amended and Restated Executive Employment Agreement dated September 21, 2004 (“Agreement”) by and between Omega Protein Corporation, a Nevada corporation with its principal place of business at 2101 CityWest Blvd, Bldg. 3, Suite 500, Houston, Texas 77042 (the “Company”), and Joseph L. von Rosenberg III (the “Executive”).
