Capital One Auto Finance, Inc. (“COAF”) and Hibernia National Bank (“Hibernia”) are affiliated entities. As of the date hereof (the “Effective Date”), Hibernia agrees to provide certain intercompany services to COAF as further described in this Services Agreement (this “Agreement”). COAF and Hibernia are individually referred to as a “Party” and collectively referred to as the “Parties.” For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, COAF and Hibernia hereby agree as follows:
