THIS SEVENTH AMENDMENT TO CREDIT AGREEMENT, dated as of December 21, 2005 (this “Amendment”), is entered into by and between Frank Russell Investment Company, as agent for certain funds listed on Schedule IV hereto, and State Street Bank and Trust Company, as Administrative Agent, Operations Agent and a Bank (“State Street”). Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Credit Agreement (as hereinafter defined).

THIS AMENDED AND RESTATED JOINT INSURANCE AGREEMENT, dated as of August 9, 1999, by and among FRANK RUSSELL INVESTMENT COMPANY (“FRIC”), RUSSELL INSURANCE FUNDS (“RIF”), such other funds as may be included as parties to this Agreement as provided herein (each referred to herein as a “Fund,” and collectively referred to as the “Funds”), and Frank Russell Company (“FRC”), and each of its subsidiaries, (hereinafter collectively referred to, along with FRC, as the “Russell Companies”) amends and restates the Joint Insurance Agreement, dated as of August 5, 1996, by and among the same parties.
