This Consulting Agreement (the “Agreement”) is entered effective as of the 1st day of January, 2006, by and between THE E.W. SCRIPPS COMPANY (“Company”), an Ohio corporation with its principal place of business located at 312 Walnut Street, Suite 2800, Cincinnati, OH 45202 and PAUL FRANK GARDNER (“Consultant”) whose address is 5435 Hobbit Road, Cincinnati, OH 45243.
