REGISTRATION RIGHTS AGREEMENT dated as of March 3, 2006 between LSB Industries, Inc., a Delaware corporation (the “Company”) and the purchasers (the “Purchasers”) named in Schedule I to the Purchase Agreement dated March 3, 2006 (the “Purchase Agreement”), between the Company and the Purchasers. In order to induce the Purchasers to enter into the Purchase Agreement, the Company has agreed to provide the registration rights set forth in this Agreement.
