This Employment Agreement (the “Agreement”) is made and entered into as of March 13, 2006, and amends and restates the Employment Agreement dated December 2, 2005, by and between ABD Insurance and Financial Services (“ABD”), a California corporation, Greater Bay Bancorp, a California corporation (“GBB”) and Frederick J. de Grosz (“Executive”).
