This EXECUTIVE CHANGE OF CONTROL AGREEMENT (“Agreement”) is made as of the 21st day of March, 2006, between Hoke, Inc., a New York corporation (the “Company”), and Wayne F. Robbins (“Executive”).

This Agreement is made as of this 21st day of March 2006 (“Agreement”), by and between CIRCOR International, Inc., a Delaware corporation (the “Company,” which term shall include, where appropriate, any Entity (as hereinafter defined) controlled directly or indirectly by the Company) and Wayne F. Robbins (“Indemnitee”).
