This Photovoltaic Module Master Supply Agreement (together with all exhibits, schedules, purchase orders, and annexes hereto, the “Agreement”) is made and entered into as of September 27, 2005 (“Effective Date”) by and among SunPower Corporation (“SunPower”) and PowerLight Corporation, PowerLight Systems, AG, and their respective subsidiaries and Affiliates, (individually and/or collectively referred to as “PowerLight”). Each PowerLight entity signing this Agreement (each a “Signer” and, collectively, the “Signers”) warrants that it has full authority and consent to enter in to this Agreement on behalf of itself and any and all of its subsidiaries and/or Affiliates which may be submitting purchase orders and taking title hereunder (each such party, which may include a Signer, being referred to as a “Buyer” and collectively as the “Buyers”).
