THIS INDEMNIFICATION AND HOLD HARMLESS AGREEMENT (this “Agreement”) is made as of January 20, 2006, by and between W&T Offshore, Inc., a Texas corporation (the “Company”), and S. James Nelson, Jr. (“Indemnitee”).
