This ASSET PURCHASE AGREEMENT dated as of April 6, 2006, is by and between MEDICINE MADE EASY, a California corporation (“Buyer”), and H&H DRUG STORES, INC., a California corporation d/b/a Western Drug (“Seller”), HAGOP YOUREDJIAN and ZARIG YOUREDJIAN, as Trustees of THE YOUREDJIAN FAMILY TRUST and H&H DRUG STORES, INC. EMPLOYEE STOCK OWNERSHIP TRUST (the “Seller’s Shareholders”), and HAGOP YOUREDJIAN, and ZARIG YOUREDJIAN.
