This Amendment to the Restricted Stock Agreement (the “Amendment”), is made and entered into between SILICON GRAPHICS, INC., a Delaware corporation (the “Company”) and Dennis McKenna (“Recipient”), as of April 17, 2006 (the “Effective Date”).

You have voluntarily elected to accept, and Silicon Graphics, Inc. (the “Company”) has agreed to pay you, a Severance Benefit under the Silicon Graphics, Inc. Vice President Severance Benefits Plan (the “Plan”). Capitalized terms not otherwise defined in this Release will have the meanings given to them in the Plan.
