THIS STOCK OPTION AGREEMENT (this “Agreement”), is entered into as of this 17th day of February 2006, by and between Warner Music Group Corp., a Delaware corporation (“Parent”), and Patrick Vien (the “Executive”). Capitalized terms used herein and not otherwise defined shall have the respective meanings set forth in the Warner Music Group Corp. 2005 Omnibus Award Plan (the “Plan”).
