THIS MEMBERSHIP INTEREST PURCHASE AND SALE AGREEMENT (this “Agreement”) is made as of May 10, 2006 (the “Effective Date”), by and among PRIP 3700, LLC, a Delaware limited liability company (“Purchaser”), BRADLEY B.
