THIS SECOND RENEWAL, AMENDMENT AND RESTATEMENT OF EMPLOYMENT AGREEMENT (the “Agreement”), made as of this 1st day of March, 2006, is entered into by Bio-Imaging Technologies, Inc., a Delaware corporation with its principal place of business at 826 Newtown-Yardley Road, Newtown, Pennsylvania 18940 (the “Company”), and Mark L. THIS EXECUTIVE RETENTION AGREEMENT by and between Bio-Imaging Technologies, Inc., a Delaware corporation (the “Company”), and (the “Executive”) is made as of March 1, 2006, to be effective upon the earlier of (i) the termination of the prior Executive Retention Agreement with the Executive or (ii) March 1, 2006 (the “Effective Date”).
