CREDIT AGREEMENT, dated as of June 1, 2006, among CROWN CASTLE INTERNATIONAL CORP., a Delaware corporation (“Holdings”), CROWN CASTLE OPERATING COMPANY, a Delaware corporation (“CC Operating”), CROWN CASTLE PR LLC, a Puerto Rico limited liability company (“CC Puerto Rico”), the Subsidiary Guarantors from time to time party hereto, the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”) and THE ROYAL BANK OF SCOTLAND PLC, as administrative agent (in such capacity, the “Administrative Agent”).
