THIS AMENDMENT TO CONTRIBUTION AGREEMENT (this “Amendment”) is entered into as of May 31, 2006 by and among HEARTHSTONE ASSISTED LIVING, INC., a Texas corporation (the “Company”), and HEARTHSTONE OPERATIONS, LLC, a Delaware limited liability company (“NewCo”). This “Master Lease” is entered into as of May 31, 2006 between the entities listed as “Landlord” on Schedule 1 (individually and collectively, “Landlord”), and the entities listed as “Tenant” on Schedule 1 (individually and collectively, “Tenant”), for the real properties and improvements thereon (collectively, the “Facilities”) as legally described on Exhibit A and the “Landlord Personal Property” associated therewith as described in Exhibit B (collectively, the “Premises”), each used as a licensed healthcare facility of the type described on Schedule 1.1 (individually as so utilized, and collectively, the “Business”). Pursuant to its concurrent Guaranty, HEARTHSTONE SENIOR SERVICES, L.P., a Delaware limited partnership (“Guarantor”), has guaranteed Tenant’s obligations hereunder.
