You are hereby awarded, effective as of the date hereof, shares (the “Shares”) of common stock, no par value (“Common Stock”), of Providence Service Corporation, a Delaware corporation (the “Company”), pursuant to the Company’s 2006 Long-Term Incentive Plan (the “Plan”), subject to certain restrictions specified below in Restrictions.
