This EXECUTIVE CHANGE OF CONTROL AGREEMENT (“Agreement”) is made as of the day of June, 2006, between CIRCOR, Inc., a Massachusetts corporation (the “Company”), and Christopher R. Celtruda (“Executive”).

This Agreement is made as of this 15th day of June 2006 (“Agreement”), by and between CIRCOR International, Inc., a Delaware corporation (the “Company,” which term shall include, where appropriate, any Entity (as hereinafter defined) controlled directly or indirectly by the Company) and Christopher R. Celtruda (“Indemnitee”).
