Certain selling shareholders of SBA Communications Corporation, a Florida corporation (the “Company”), named in Schedule 1 hereto (the “Selling Shareholders”) propose to sell to Lehman Brothers Inc. (the “Underwriter”) 1,500,000 shares (the “Stock”) of the Class A Common Stock, par value $0.01 per share (the “Common Stock”) of the Company. This is to confirm the agreement concerning the purchase of the Stock from the Selling Shareholders by the Underwriter.
