EMPLOYMENT AGREEMENT (the “Agreement”), dated as of May 18, 2006, between Intelsat Holdings, Ltd., a Bermuda corporation (“Parent”) and James B. Frownfelter (the “Executive”) and effective as of the Effective Time (as defined in the Merger Agreement among Intelsat (Bermuda), Ltd., Proton Acquisition Corporation and PanAmSat Holding Corporation (“PanAmSat”), dated as of August 28, 2005) (the “Merger Agreement”). In the event that the Merger Agreement is terminated, this Agreement shall be void ab initio and of no further force and effect, and the Prior Agreement (as defined below) shall remain in effect and be binding in full on the parties thereto.

Wright, Jr. (the “Executive”) and effective as of the Effective Time (as defined in the Merger Agreement among Intelsat (Bermuda), Ltd., Proton Acquisition Corporation and PanAmSat Holding Corporation (“PanAmSat”), dated as of August 28, 2005) (the “Merger Agreement”).
