THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is dated as of September 30, 2006, by and among 1SHOPPINGCART.COM CANADA CORP., an Ontario corporation (the “Company”), 1SHOPPINGCART.COM CORP., an Oregon corporation and wholly owned subsidiary of the Company (the “Company Subsidiary,” and together with the Company, the “Seller”), WEBSITE PROS, INC., a Delaware corporation (“Parent”) and WEBSITE PROS CANADA INC., an Ontario corporation and a wholly owned subsidiary of Parent (“Subsidiary,” and together with Parent, “Buyer”).
