THIS WARRANT AGREEMENT (the “Agreement”), dated as of November 28, 2005, is made and entered into by and between Syntroleum Corporation, a Delaware corporation (the “Company”), and Sovereign Oil & Gas Company II, LLC, a Texas limited liability company (the “Warrantholder”). This Agreement is being executed in connection with the Joint Development Agreement dated as of March 1, 2004 by and between the Company and the Warrantholder (the “JD Agreement”).
