NewMarket Corporation, a Virginia corporation (the “Issuer”), proposes to issue and sell to Credit Suisse Securities (USA) LLC (the “Initial Purchaser”), upon the terms set forth in a purchase agreement dated as of December 7, 2006 (the “Purchase Agreement”), $150,000,000 in aggregate principal amount of its 7 1/8% Senior Notes due 2016 (the “Initial Securities”) to be guaranteed (the “Guaranties”) by each of the subsidiary guarantors set forth on Schedule I hereto (collectively, the “Guarantors” and, together with the Issuer, the “Company”). The Initial Securities will be issued pursuant to an Indenture, dated as of the date hereof (the “Indenture”), among the Issuer, the Guarantors and Wells Fargo Bank, N.A., as trustee (the “Trustee”). As an inducement to the Initial Purchaser to enter into the Purchase Agreement, the Company agrees with the Initial Purchaser, for the benefit of the Initial Purchaser and the holders of the Securities (as defined below) (collectively the “Holders”),
