This Trust Agreement (the “Trust Agreement”) is made by and between Hologic, Inc., a Delaware corporation, (the “Employer”), and UNION BANK OF CALIFORNIA, N.A., a national banking association (the “Trustee”), and shall be effective upon the Trustee’s receipt of the initial contribution of money or other property to be held in trust hereunder.
