AMENDMENT NO. 2, dated as of December 22, 2006 (this “Amendment”) to the Credit and Guaranty Agreement, dated as of May 18, 2005 (the “Credit Agreement”) as modified by Amendment No. 1 on February 8, 2006, by and among Xerium Technologies, Inc.
