THIS SECOND AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST, made this 17th day of November, 2006, by each of the undersigned Trustees (hereinafter, together with any additional and successor trustees, referred to as the “Trustees”).

These By-Laws of Master Investment Portfolio (the “Trust”), a Delaware business trust, are subject to the Trust’s Second Amended and Restated Agreement and Declaration of Trust, dated November 17, 2006, as from time to time amended, supplemented, or restated (the “Trust Instrument”). Capitalized terms used herein which are defined in the Trust Instrument are used as therein defined.
