THIS LIMITED PARTNERSHIP PURCHASE AGREEMENT is executed as of January 18, 2007, by and among Lowrie Management LLLP, a Colorado limited liability limited partnership(hereinafter referred to as “Lowrie”) and Illinois Acquisitions Inc., a Colorado corporation (hereinafter referred to as “Illinois”), VCG Holding Corp., a Colorado corporation (hereinafter referred to as “VCG”), and RCC LP., an Illinois limited partnership doing business as “Roxy’s” (hereinafter referred to as the “Company”).
