THIS OPERATING AGREEMENT, is made and entered into as of December 5, 2006, by Ethyl Corporation, a Virginia corporation, the sole member of Gamble’s Hill Lab, LLC, a Virginia limited liability company, to set forth the terms and conditions on which the management, business and affairs of the Company shall be conducted.
