This ASSET PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of 9th day of March, 2007 by and among IMPERIAL SYSTEMS INC. (EIN 20-8397431) a Florida corporation and/or its assigns, (“PURCHASER”), and COACH FINANCIAL SERVICES, Inc. a Florida corporation (EIN 34-2013297) (“CFS”) and SPRINGFIELD COACH INDUSTRIES GROUP, INC. a Missouri.
