THIS SECURITY AGREEMENT (the “Agreement”) dated as of April 27, 2007, is entered into by and among MegaBingo, Inc., a Delaware corporation (“MegaBingo”) and MGAM Systems, Inc., a Delaware corporation (“MGAM”, together with MegaBingo, “Borrowers”, and each a “Borrower”) and such other entities which from time to time become parties hereto (collectively, including the Borrowers, the “Debtors” and individually each a “Debtor”) and Comerica Bank, a Michigan banking corporation (“Comerica”), as Agent for and on behalf of the Banks (as defined below) (in such capacity, the “Agent”). The addresses for the Debtors and the Agent are set forth on the signature pages.

This Revolving Credit Agreement (“Agreement”) is made as of the 27th day of April, 2007, by and among the financial institutions from time to time signatory hereto (individually, a “Bank,” and, any and all such financial institutions collectively, the “Banks”), Comerica Bank, as agent for the Banks (in such capacity, “Agent”), and MegaBingo, Inc., a Delaware corporation (“MegaBingo”) and MGAM Systems, Inc., a Delaware corporation (“MGAM”, together with MegaBingo collectively referred to as “Borrowers” and each a “Borrower”).

This GUARANTY is made as of this 27th day of April, 2007 by the undersigned guarantors (each a “Guarantor” and any and all collectively, the “Guarantors”) to Comerica Bank, as the Agent (“Agent”) for and on behalf of the Banks (as defined below).
