PREIT Associates L.P., a Delaware limited partnership (the “Operating Partnership”) proposes to issue and sell to certain purchasers (the “Initial Purchasers”) its 4.00% Exchangeable Senior Notes due 2012 (the “Notes”), upon the terms set forth in the Purchase Agreement by and among the Operating Partnership, Pennsylvania Real Estate Investment Trust (the “Trust”), an unincorporated association in business trust form created under Pennsylvania law pursuant to a Trust Agreement, and the Initial Purchasers, dated as of May 2, 2007 (the “Purchase Agreement”), relating to the initial placement (the “Initial Placement”) of the Notes. In certain circumstances, the Notes will be exchangeable for common shares of beneficial interest, par value $1.00 per share (the “Shares”) of the Trust in accordance with the terms of the Notes and the Indenture (as defined below). The Trust will fully and unconditionally guarantee the payment by the Operating Partnership of principal and interest on the Notes
