This Amended and Restated Registration Rights Amendment (this “Amended and Restated Agreement”), which amended and restates in its entirety the Registration Rights Agreement among the parties hereto (the “Agreement”), is made and entered into as of March __, 2006, by and among Synova Healthcare Group, Inc., a Nevada corporation (the “Company”), and the purchasers signatory hereto (each such purchaser, a “Purchaser” and collectively, the “Purchasers”).

This Distribution Agreement (this “Agreement”) is made on this 22nd day of December, 2005 by and between Common Sense Ltd. (“Common Sense”), a company organized and existing under the laws of the State of Israel of 7 Ha-Eshel St. P.O. Box 3567 Caesarea Industrial Park, Caesarea 38900; and Synova Healthcare, Inc. (the “Distributor”), a company organized and existing under the laws of the State of Delaware, U.S.A., of 1400 North Providence Road, Suite 6010, Media, Pennsylvania, U.S.A. 19063 (collectively, the “Parties”).
