THIS AGREEMENT dated as of , 2007, between Universal Corporation, a corporation organized under the laws of Virginia (the “Company”), and (the “Executive”), is made pursuant and subject to the provisions of the Company’s 2002 Executive Stock Plan, as amended and restated August 7, 2003, which is incorporated herein by reference, and any future amendments thereto (the “Plan”). Capitalized terms not otherwise defined herein have the meanings given them in the Plan.
