This Registration Rights Agreement (this “Agreement”) is made and entered into as of June 8, 2007, by and among Cardinal Health, Inc., an Ohio corporation (the “Company”), and Barclays Capital Inc., Deutsche Bank Securities Inc., Goldman, Sachs & Co. and other initial purchasers (collectively, the “Initial Purchasers”), each of whom has agreed to purchase the Company’s 5.65% Notes due 2012 (the “2012 Notes”) and the Company’s 6.00% Notes due 2017 (the “2017 Notes”, and together with the 2012 Notes, the “Initial Securities”) pursuant to the Purchase Agreement (as defined below).

This Note is one of a duly authorized issue of debentures, notes, bonds or other evidences of indebtedness of the Issuer (hereinafter called the “Securities”) of the series hereinafter specified, all issued or to be issued under and pursuant to an indenture dated as of April 18, 1997 (the “Original Indenture”), duly executed and delivered by the Issuer to The Bank of New York Trust Company, N.A.
