CREDIT AGREEMENT, dated as of June 12, 2007, among CITADEL BROADCASTING CORPORATION, a Delaware corporation (the “Company”), the several lenders from time to time parties hereto (the “Lenders”), JPMORGAN CHASE BANK, N.A., as administrative agent for the Lenders (in such capacity, the “Administrative Agent”), BANK OF AMERICA, N.A., and DEUTSCHE BANK TRUST COMPANY AMERICAS, as syndication agents for the Lenders (in such capacities, the “Syndication Agents”), and CREDIT SUISSE, CAYMAN ISLANDS BRANCH and WACHOVIA BANK, NATIONAL ASSOCIATION, as documentation agents for the Lenders (in such capacities, the “Documentation Agents”).

This Tax Sharing and Indemnification Agreement (this “Agreement”), dated June 12, 2007 is made and entered into by and among The Walt Disney Company, a Delaware corporation (“TWDC”), ABC Radio Holdings, Inc. (f/k/a ABC Chicago FM Radio, Inc.), a Delaware corporation (“Spinco”), and Citadel Broadcasting Corporation, a Delaware corporation (“Citadel”) (each a “Party” and, collectively, the “Parties”).
