AMENDMENT NO. 7, dated as of July 13, 2007 (this “Amendment”), to the Credit Agreement, dated as of December 22, 2006 (as amended, restated, supplemented or otherwise modified from time to time, including all schedules thereto, the “Credit Agreement”), by and among the lenders identified on the signature pages thereof (such lenders, together with their respective successors and permitted assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”), Wells Fargo Foothill, Inc., a California corporation, as the arranger and administrative agent for the Lenders (in such capacity, together with its successors and assigns in such capacity, the “Agent”), Velocity Express Corporation, a Delaware corporation (the “Parent”), each of the Parent’s Subsidiaries identified on the signature pages thereof as a Borrower (such Subsidiaries are referred to hereinafter each individually as a “Borrower”, and individually and collectively, jointly and severally, as

THIS THIRD SUPPLEMENTAL (this “Third Supplemental Indenture”) dated as of July 25, 2007, among VELOCITY EXPRESS CORPORATION, a Delaware corporation (the “Company”), and WELLS FARGO BANK, N.A., a national banking association (the “Trustee”), to the INDENTURE, dated as of July 3, 2006, among the Company, the guarantors party thereto and the Trustee, pursuant to which the Company issued $78,205,000 in aggregate principal amount of 12.0% Senior Secured Notes due 2010 (the “Notes”), as amended by the First Supplemental Indenture, dated as of August 17, 2006, and the Second Supplemental Indenture, dated as of December 22, 2006 (as so amended by the First Supplemental Indenture and the Second Supplemental Indenture, the “Indenture”).
