THIS EMPLOYMENT AGREEMENT (this “Agreement”) by and between Thomas F. Shields (the “Executive”) and Rex Energy Operating Corp., a Delaware corporation (the “Company”), is made and entered into this 1st day of August, 2007, to be effective on the date that the initial public offering of the common stock of its parent, Rex Energy Corporation (“Rex”), is consummated (the “Effective Date”).
