AMENDED AND RESTATED CREDIT AGREEMENT, dated as of August 9, 2007, among SYNIVERSE HOLDINGS, INC., a Delaware corporation (the “Parent”), SYNIVERSE TECHNOLOGIES, INC., a Delaware corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”), LEHMAN BROTHERS INC. (“LBI”) and DEUTSCHE BANK SECURITIES INC. (“DBSI”), as joint lead arrangers and joint book-running managers (in such capacities, the “Arrangers”), LEHMAN COMMERCIAL PAPER INC.
