THIS EMPLOYMENT AGREEMENT (this “Agreement”) by and between William L. Ottaviani (the “Executive”) and Rex Energy Operating Corp., a Delaware corporation (the “Company”), is made and entered into this 8th day of August, 2007, but shall be effective as of September 4, 2007 (the “Effective Date”).
